CREATOR AGREEMENT FOR WEBCONTENT APS

1. Introduction This agreement ("Agreement") is entered into between you as a UGC Creator ("Creator") and WebContent ApS ("WebContent"), c/o Hovedkontoret Hillerød ApS, Slotsgade 49, 1, 3400 Hillerød, CVR no. DK45178927. By creating a user profile on WebContent’s platform, the Creator accepts the terms outlined below.


2. Purpose of the Agreement The purpose of this Agreement is to regulate the Creator’s participation in campaigns and collaborations through WebContent’s platform and the legal obligations applicable to both parties.


3. Creator’s Role & Responsibilities 3.1 The Creator is an independent party and operates as a freelancer without an employment relationship with WebContent or the client. 3.2 The Creator commits to delivering content according to the agreed campaign requirements and deadlines. 3.3 The Creator may not share or reuse content created for a specific campaign for other purposes.


4. Ownership & Rights to Content 4.1 The Creator transfers full exclusive rights to WebContent for all created content, regardless of format or media. 4.2 WebContent has the right to use, modify, edit, redistribute, sell, and license the content without further consent from the Creator. 4.3 The Creator waives any future commercial rights to the content and has no claim to additional compensation beyond the agreed payment. 4.4 The client is granted full ownership rights over the content; however, the content may only be used by the brand that commissioned it. The client may not transfer, sublicense, or allow any third party to use the content outside the scope of the commissioning brand without WebContent’s explicit written approval.


5. Payment & Invoicing 5.1 Payment to the Creator is handled by WebContent through Stripe after final approval of the content. 5.2 The Creator is responsible for providing correct payment details and complying with tax obligations in their country of residence. 5.3 Failure to deliver approved content may result in payment cancellation.


6. Limitation of Liability 6.1 WebContent is not responsible for disputes between the Creator and the client but may facilitate dialogue in case of disagreements. 6.2 WebContent cannot be held liable for indirect losses or non-payment from the client to the Creator.


7. Data Processing & GDPR 7.1 WebContent processes the Creator’s personal data in accordance with GDPR. 7.2 The Creator agrees that WebContent may store contact information and payment history in compliance with applicable law.


8. Ethics & Moderation 8.1 The Creator may not participate in campaigns containing illegal, discriminatory, or harmful content. 8.2 WebContent reserves the right to remove the Creator from the platform for violations of ethical guidelines.


9. Termination of Collaboration 9.1 The Creator may terminate their account on WebContent’s platform at any time. 9.2 WebContent may deactivate the Creator’s account in cases of repeated breaches of terms or failure to deliver agreed content.


10. Governing Law & Dispute Resolution 10.1 This Agreement is subject to Danish and international law. 10.2 Disputes between the Creator and WebContent shall be settled at the Copenhagen City Court, unless otherwise agreed. 10.3 For international disputes, WebContent may choose to follow a neutral international arbitration institution, such as ICC or LCIA, depending on the party’s residence and the circumstances.
